1. Acceptance of Terms

By accessing and using Scholaris ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

These terms apply to all users of the Service, including schools, administrators, teachers, parents, and students.

2. Description of Service

Scholaris provides a cloud-based school management platform that includes:

• Attendance tracking and management
• Examination and grading systems
• Fee collection and financial management
• Parent-teacher communication tools
• Real-time analytics and reporting
• Student and staff information management

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration

To use Scholaris, you must:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You may not use another person's account without permission. Accounts are non-transferable.

4. User Responsibilities

You agree to:

• Use the Service only for lawful purposes and in accordance with these Terms
• Not use the Service in any way that violates applicable laws or regulations
• Not impersonate or attempt to impersonate Scholaris, a Scholaris employee, another user, or any other person or entity
• Not engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• Not introduce viruses, trojans, worms, or other malicious code
• Not attempt to gain unauthorized access to any portion of the Service

5. Payment Terms

Free Trial: New schools receive a 30-day free trial with full access to all features. No credit card is required for the trial period.

Subscription Plans: After the trial period, continued use requires a paid subscription. Pricing is based on the number of students and selected features.

Billing: Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these terms.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

6. Data Ownership and Usage

Your Data: You retain all rights to the data you input into Scholaris. We do not claim ownership of your content.

License to Use: By using the Service, you grant us a limited license to host, store, and process your data solely for the purpose of providing the Service to you.

Data Export: You may export your data at any time in standard formats. Upon account termination, we will retain your data for 30 days before permanent deletion.

7. Privacy and Security

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy.

We implement industry-standard security measures including SOC 2 Type II compliance, end-to-end encryption, and regular security audits. However, no method of transmission over the internet is 100% secure, and we cannot guarantee absolute security.

8. Account Suspension and Termination

We may suspend or terminate your account if:

• You violate these Terms of Service
• Your account has been inactive for more than 90 days
• Payment for your subscription fails or is disputed
• We are required to do so by law
• We believe your actions may harm Scholaris or other users

Upon termination, your right to use the Service will immediately cease. We will provide reasonable notice before termination except in cases of serious violations.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Scholaris and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our explicit written permission.

10. Limitation of Liability

To the maximum extent permitted by law, Scholaris shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code transmitted through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

11. Indemnification

You agree to indemnify, defend, and hold harmless Scholaris and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Lagos, Nigeria.
